These Terms of Service govern the use of our online coaching services and website by Universus. By accessing or using the Service, you agree to be bound by this Agreement. You may not use the Service if you disagree to be bound by this Agreement.

2. Description of Services

Our coaching services include live group coaching sessions, for recurring monthly and annual payments. The specific coaching services offered will be outlined in your coaching package or contract.

3. Fees and Payment

The fees for our coaching services will be outlined in your coaching package or contract. Payment for services may be made via credit card, PayPal, or other payment methods specified by us. The fee for services is refundable for a limited time period of up to 48 hours after order placement, and after the designated time, all purchases are non-refundable.

4. Coaching Sessions

Coaching sessions will be conducted remotely via group calls on Discord. Clients are responsible for ensuring they have a reliable internet connection and the necessary technology for video call sessions and in-game practice, such as computer parts, functional steam account, proper microphone, and more.

5. Confidentiality

All coaching sessions and client information will be kept confidential, except where required by law. We will not disclose client information to third parties without the client's express consent.

6. Intellectual Property

All coaching materials, including but not limited to worksheets, course materials, and recordings, are the property of our company and may not be shared or distributed without our express written consent.

7. Liability

We will not be held liable for any damages or injuries, including but not limited to physical, mental, emotional, or financial damages, arising from the use of our coaching services or website. Clients assume full responsibility for their actions, decisions, and results from coaching services.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Israel without giving effect to any principles of conflicts of law.

9. Dispute Resolution

Any disputes arising from or relating to this Agreement shall be resolved through binding arbitration in accordance with the Israeli Arbitration Association rules.

10. Amendments

We reserve the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on our website. Your continued use of the Service after any changes to this Agreement constitutes your acceptance of such changes.

11. Termination

Either party may terminate this Agreement at any time for any reason. In the event of termination, any fees paid for coaching services will not be refunded.

12. Code of Conduct

Clients are expected to adhere to a code of conduct during coaching sessions and while interacting with Universus staff and other participants. Any form of harassment, discrimination, or inappropriate behaviour will not be tolerated. Universus reserves the right to terminate the coaching services of any client who violates this code of conduct, without refund or liability.

13. Limitation of Liability

To the fullest extent permitted by law, Universus and its affiliates, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use of our coaching services or website. This includes but is not limited to, damages for loss of profits, data, or other intangible losses, even if Universus has been advised of the possibility of such damages.

14. Indemnification

You agree to indemnify, defend, and hold harmless Universus and its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our coaching services, website, or any breach of these Terms of Service.

Our website or coaching materials may contain links to third-party websites or services that are not owned or controlled by Universus. We are not responsible for the content, privacy practices, or availability of any such external sites or services. You acknowledge and agree that Universus shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

If any provision of these Terms of Service is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms of Service unenforceable or invalid as a whole. Instead, the provision shall be interpreted and enforced to the maximum extent permitted by law, and the other provisions of these Terms of Service shall remain in full force and effect.

17. Progress and Personal Responsibility

Universus strives to provide high-quality coaching services and support to enhance your Esports skills and performance. However, we do not guarantee specific outcomes or progress as a result of our coaching services. Improvement in skills and performance is contingent upon various factors, including but not limited to the individual's commitment, dedication, practice, and inherent abilities.

You acknowledge and understand that attending coaching sessions alone is not sufficient for achieving significant progress. It is your personal responsibility to actively participate, engage, and apply the knowledge and techniques shared during the coaching sessions. Consistent practice, effort, and dedication outside of coaching sessions are vital for skill development and improvement.

Universus cannot be held responsible for any lack of progress or unsatisfactory results that may occur due to factors beyond our control, including your personal commitment, external circumstances, or individual learning abilities.

By using our coaching services, you acknowledge that your progress and development in Esports are primarily dependent on your personal efforts and commitment, and you release Universus from any claims or liabilities related to the lack of progress or unsatisfactory results.

It's important to note that this section clarifies the role of the coaching services and emphasizes the personal responsibility of the individual for their progress. However, it's still advisable to consult with a legal professional to ensure the section aligns with your specific business needs and jurisdiction.

18. Right to Ban Members, Deny Access, and Decline Refunds
Universus reserves the right to ban members from the Universus Discord server, deny access to the Universus website, and decline refunds in the event of a breach of these Terms of Service. Breaches may include, but are not limited to, the following:

1) Treating staff or fellow students with disrespect, including harassment or discrimination based on race, ethnicity, gender, religion, sexual orientation, or any other protected characteristic.
 

2) Engaging in abusive, threatening, or offensive behaviour, including the use of profanity, slurs,
or hate speech towards staff or fellow students.
 

3) Failing to attend scheduled coaching sessions without prior notice and requesting a refund thereafter and or providing false information regarding topics such as subscriptions, personal information, and more.

Universus shall exercise reasonable discretion in determining whether a breach has occurred. Any decision to ban a member, deny access, or decline a refund will be made in good faith and in accordance with the principles of fairness.
 

In the event of a ban or denial of access, the member shall lose all rights and privileges associated with Universus, including access to coaching materials and participation in coaching sessions. The member will not be entitled to any refund or compensation for services not rendered or materials not accessed as a result of the ban or denial of access.

By using our coaching services or website, you acknowledge and agree that Universus retains the right to enforce this provision and take appropriate actions in response to any breaches of the Terms of Service outlined in this section.


19.Non-Disclosure-Obligations

As a participant in our online coaching services, you acknowledge and agree that all coaching materials, including but not limited to course content, worksheets, recordings, and any information provided by Universus during coaching sessions, are strictly confidential and proprietary to Universus. You shall treat such materials and information as strictly confidential and proprietary and shall not disclose, reproduce, or use them for any purpose other than for the sole benefit of your own personal improvement and development in the context of our coaching services.

1. Intellectual Property Protection

All coaching materials, course content, and any other intellectual property provided by Universus to clients remain the exclusive property of Universus. You understand and agree that no ownership rights or licenses are granted to you, and you shall not reproduce, distribute, or use the materials for any commercial or unauthorized purposes.

1. Prohibition of Unauthorized Use and Sharing

You expressly acknowledge and agree that any unauthorized use, recording, sharing, distribution, or reproduction of Universus' confidential materials, coaching sessions, or any other proprietary information is strictly prohibited. This includes, but is not limited to, sharing materials with non-participants, uploading recordings to public platforms, or using them in a manner inconsistent with the terms and purposes of our coaching services.

1. Legal Remedies for Violations

You further acknowledge and understand that any violation of this non-disclosure and intellectual property protection clause will result in severe harm to Universus and its business interests. In the event of a breach, Universus reserves the right to pursue all available legal remedies, including seeking injunctive relief and damages, to protect its confidential information and enforce its intellectual property rights.

1. Reporting Unauthorized Use

If you become aware of any unauthorized use, sharing, or distribution of Universus' confidential materials, coaching sessions, or intellectual property, you must promptly notify Universus in writing at [contact email]. Your cooperation in protecting the confidentiality and integrity of our coaching materials is essential to maintaining the quality and effectiveness of our services.

You agree to indemnify, defend, and hold harmless Universus and its affiliates, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with any unauthorized use, disclosure, or distribution of Universus' confidential materials or intellectual property by you or any third party to whom you have provided access to such materials.

By participating in our coaching services, you affirm that you have read, understood, and agreed to comply with the non-disclosure and intellectual property protection provisions outlined in this section. Universus reserves the right to amend or modify this section as necessary, and any changes will be effective immediately upon posting on our website.

20. Entire Agreement

This Agreement constitutes the entire agreement between you and our company with respect to the Service and supersedes all prior or contemporaneous communications and proposals, whether oral or written.
As such, By continuing to use the Company's services, you affirm that you have read, understood, and agreed to the terms and conditions set forth in this document, including the Returns and Refunds section and the Privacy Policy section.
